1. Introduction

Avni Labs ("Avni Labs", "we", "our", "us") is a brand operated by Avnira Technology Private Limited, a company incorporated under the Companies Act, 2013, India (CIN: U62090DL2025PTC450720).

These Terms and Conditions ("Terms") govern your access and use of our website https://avnilabs.ai ("Website") and all AI-powered video tools, APIs, dashboards, integrations, and related services ("Services"). By using our Services, you agree to these Terms. If you do not accept them, please do not use the Services.

This Agreement is legally binding. The English version shall prevail in any dispute. No partnership, employment, joint venture, fiduciary, or agency relationship is created by this Agreement.

2. Definitions

• User: Any individual, entity, or organization who accesses or uses the Services.
• Content: All files, data, videos, scripts, assets, feedback, or materials users upload, submit, create, or generate through the Services.
• Output: Any AI-generated results or content produced by our Services using a user's account.
• Company, we, our, us: Avnira Technology Private Limited (Avni Labs).
• Feedback: Any suggestions, comments, bug reports, or improvement ideas submitted by users.
• Prohibited Person: Any individual, entity, or country subject to sanctions or export controls under Indian or applicable international laws.

3. Eligibility

You may use our Services only if:

• You are at least 18 years old;
• You have the legal capacity to enter into a binding contract;
• You are not a Prohibited Person, and your use complies with all applicable laws;
• You are not using the Services on behalf of a minor.

If you are using the Services on behalf of an entity, you represent and warrant that you have authority to bind such entity to these Terms.

4. Account Registration and Security

Some features require registration. You agree to:

• Provide accurate and complete information;
• Keep your credentials secure and confidential;
• Promptly notify us of any unauthorized access or security breach;
• Not assign, transfer, or sublicense your account.

You are responsible for all activities under your account. We may suspend or terminate access for violations of these Terms, security risks, or legal obligations, with notice where feasible.

5. Acceptable Use

You agree not to:

• Misuse, exploit, or disrupt the Services, networks, or systems;
• Upload unlawful, harmful, infringing, or unauthorized content;
• Reverse-engineer, decompile, bypass, or interfere with security or technical controls;
• Copy, replicate, or derive the design or workflows for competitive purposes;
• Transfer, assign, sublicense, or claim rights in our platform or models;
• Use scraping, bots, or automation beyond published documentation and limits;
• Violate any law, third-party rights, or these Terms.

We may monitor usage and suspend or throttle access for suspected abuse.

6. Ownership of Content, Output, and Feedback

• User Content Ownership: You retain all rights to the Content you upload or create.
• Limited License to Avni Labs: You grant Avni Labs a worldwide, non-exclusive, royalty-free, revocable and limited license to process, store, analyze, and use User Content solely for the purpose of providing the Services .

• AI Training: User Content shall be used for AI model training only where you have expressly opted in through account settings or written consent, in accordance with our Privacy Policy. Consent may be withdrawn at any time and shall not affect prior lawful processing of anonymized or aggregated data.

• Output Ownership: You own the Output generated using your Content, subject to these Terms and applicable law. This does not include Avni Labs' underlying models, templates, algorithms, workflows, or platform technology.

• Feedback: Any Feedback you provide is voluntary and non-confidential. You grant Avni Labs a non-exclusive, perpetual, royalty-free license to use such Feedback solely for improving the Services, without any obligation of compensation or attribution.

You represent and warrant that you have all necessary rights and permissions to upload and use your Content and that such Content does not violate any law or third-party rights.

7. API & Integrations

• API usage must comply with documentation, fair use policies, and rate limits.
• Abuse, scraping, circumvention, or excessive automated usage is strictly prohibited.
• Third-party integrations are provided "as is." Avni Labs is not responsible for data loss, corruption, or security incidents caused by third-party services.
• We may audit, restrict, or suspend API access for security, compliance, or operational reasons.

8. Payments, Subscriptions, and Billing

• Pricing is displayed on the Website or in your written agreement and may change with reasonable notice.
• By subscribing or purchasing, you authorize us or our payment partners to charge your chosen payment method.
• Fees are generally non-refundable, subject to the following:
  • Monthly plans: No refunds for the current billing period. You may cancel at any time and access will continue until the end of the paid period.
  • Annual plans: If you cancel within 7 days of purchase and have not materially used the Services, you are entitled to a full refund. After 7 days, a pro-rata refund will be issued for the unused portion of the subscription at our discretion.
  • Legal rights: Nothing in this clause limits your rights under the Consumer Protection Act, 2019 or other applicable Indian law.
• Taxes and duties, if applicable, are your responsibility.

9. Data Protection, Privacy, and User Rights

• All personal data is processed strictly in accordance with the Digital Personal Data Protection Act, 2023 and our Privacy Policy.
• Nothing in these Terms authorizes processing beyond the scope of lawful consent.
• You may request deletion, correction, or portability of your personal data as described in our Privacy Policy.
• Aggregated, anonymized, and backup data may be retained for legal and operational purposes.

10. Security

We implement commercially reasonable security measures to protect your data. We are not responsible for unauthorized access caused by your negligence, device compromise, or third-party failures.

11. Beta Features

• Certain features may be designated as Beta or experimental.
• Beta features are provided "as is" without warranties and may be discontinued at any time.
• Avni Labs is not liable for damages arising from Beta usage.

12. Intellectual Property

• All intellectual property in the platform, software, models, branding, and analytics belongs exclusively to Avni Labs.
• You are granted a limited, non-transferable, non-sublicensable license to use the Services as intended.
• You may not copy, modify, reverse-engineer, publish, or create competing products using our technology.

13. Prohibited Uses and Content

You may not use the Services for:

• Hate speech, harassment, defamation, or violence;
• Pornographic, explicit, deceptive, or unlawful content;
• Political manipulation, disinformation, or impersonation;
• Infringing privacy, intellectual property, or other legal rights.

AI / Synthetic Content Disclosure: AI-generated or synthetic content must include a clear disclosure that it is AI-generated.

User Liability for AI Content: You acknowledge that you are solely responsible for the lawful use, disclosure, and publication of any AI-generated or synthetic content created using the Services. Avni Labs shall not be liable for any civil, criminal, regulatory, or third-party liability arising from such use or misuse.

14. AI Output Disclaimer & No Professional Advice

• AI Outputs are provided "as is" and may contain errors.
• Outputs do not constitute legal, medical, financial, or professional advice.
• You assume full responsibility for verifying Outputs before any use.

15. Temporary Storage, Deletion & Portability

• Uploaded files may be stored temporarily for processing.
• You may delete your content via account controls at any time.
• Upon account deletion or withdrawal of consent, personal data will be erased within 30 days in accordance with our Privacy Policy. The following indicative retention periods apply to logs and backups:
  • Security and access logs: minimum 1 year for security and investigation purposes
  • API logs and automation data: 12 months from date of generation
  • Payment records: 7 years as required under applicable law
• These periods are consistent with our Privacy Policy. In the event of any conflict between these Terms and the Privacy Policy on data retention, the Privacy Policy shall prevail.

16. Service Availability & Updates

• Services are provided "as is" and "as available."
• We may modify, suspend, or discontinue Services at any time.
• We may assign or transfer this Agreement as part of a merger, acquisition, or business restructuring. In such cases, we will notify you via email or dashboard before the transfer takes effect, and you may terminate your account if you do not wish to continue under the new entity.

17. Third-Party Services

We are not responsible for failures or damages arising from third-party services or integrations.

18. Export Controls & Force Majeure

You agree to comply with all applicable export and local laws. We are not liable for delays or failures caused by events beyond reasonable control, including cyberattacks, government actions, natural disasters, or network failures.

19. Suspension, Termination & Survival

We may suspend or terminate your access for breach, unlawful activity, or security risk. Provisions on IP, indemnity, liability, and dispute resolution shall survive termination.

20. Limitation of Liability

To the maximum extent permitted by law:

• Avni Labs shall not be liable for indirect, incidental, punitive, or consequential damages.
• Total cumulative liability shall not exceed the greater of:
  • (a) the total fees paid by you in the preceding 3 months, or
  • (b) INR 10,000.
• Nothing limits liability for death, personal injury, fraud, or liabilities that cannot be limited by law.

21. Indemnification

You agree to indemnify and hold harmless Avni Labs against third-party claims arising solely from: (a) your violation of these Terms, (b) unlawful use of the Services, or (c) infringement caused by your Content or Output.

22. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Courts at Delhi, India shall have exclusive jurisdiction, subject to applicable consumer protection laws.

23. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 14 days' notice via email, Website, or dashboard before the changes take effect. Your continued use of the Services after the notice period constitutes acceptance of the updated Terms. If you do not agree to the changes, you may terminate your account before the effective date.

24. Severability

If any provision is held invalid, the remaining provisions shall remain in full force.

25. Copyright & Takedown Requests

If you believe your copyright is violated, contact: hello@avnilabs.ai with sufficient supporting details for investigation.
